1. Acceptance of Terms

By accessing or using ProQuote ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ProQuote is a free, browser-based document creation tool that allows users to create quotations, invoices, delivery notes, proforma invoices, purchase orders, credit and debit notes and shop bills, and to keep a credit ledger with purchase bills and payment receipts. The Service operates within your web browser and does not require account registration; signing in with Google is optional and adds a backup to your own Google Drive. ProQuote is a product of Hell Nah, an independent software company based in Nepal (registration in progress).

3. Cost

ProQuote's core features are free to use with no hidden fees. All document creation, PDF export, and offline functionality is available at no cost. Optional paid plans (Pro, Business) may be introduced in the future for advanced features such as cloud storage and team collaboration. Any paid plans will be clearly disclosed before purchase.

4. User Responsibilities

• You are solely responsible for the content of documents you create
• You agree not to use ProQuote for creating fraudulent, illegal, or misleading documents
• You are responsible for the accuracy of all information entered (prices, taxes, business details)
• You are responsible for backing up your locally stored data
• You are responsible for checking that the documents you issue (including tax invoices, credit notes and debit notes) meet the legal and tax requirements of your country
• The credit ledger, statements and payment receipts are record-keeping aids worked out from what you enter. They are not accounting, tax or legal advice, and you are responsible for confirming balances before relying on them or demanding payment
• If you request an advertisement, you confirm you have the right to promote that business and that the ad is truthful and legal where it is shown. Every ad is reviewed first; we may decline, pause or remove any ad at our discretion, and an ad appearing on ProQuote is not an endorsement by us
• On a shared computer, you are responsible for removing your work when you finish (the “Clear my work from this device” option does this)

5. Intellectual Property

The ProQuote application, its design, code, and branding are the intellectual property of Hell Nah. Documents you create using ProQuote belong entirely to you. We claim no ownership over your content.

6. Data & Privacy

Your documents stay on your device. We do not collect, store, or have access to them. If you create an account, we store only the details listed in our Privacy Policy. For full details, see our Privacy Policy.

7. Disclaimer of Warranties

ProQuote is provided "as is" without warranty of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements. The Service is not a substitute for professional accounting, legal, or tax advice.

8. Limitation of Liability

To the maximum extent permitted by law, Hell Nah and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of business, or financial losses resulting from reliance on generated documents.

9. Third-Party Services

ProQuote uses third-party services — cdnjs (Cloudflare) for export libraries, Google for optional sign-in and Drive backup, and Google Analytics and Google AdSense on the website. Your use of these services is subject to their respective terms and privacy policies.

10. Modifications

We reserve the right to modify these terms at any time. Changes will be posted on this page. Continued use of the Service after changes constitutes acceptance of the modified terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from the use of ProQuote shall first be attempted to be resolved through good-faith negotiation between the parties.
